The Chopt name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Chopt or its affiliates or licensors. You may not use such marks without the prior written permission of Chopt. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

5.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes related to placing food orders and using our services. This license does not include the right to:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any of the Site content
  • Use any data mining, robots, or similar data gathering or extraction methods
  • Download any portion of the Site except as expressly permitted
  • Use the Site for any commercial purpose or for any public display

5.2 User-Generated Content

If you submit, post, or otherwise provide any content, feedback, reviews, suggestions, or other materials to us through the Site ("User Content"), you grant Chopt a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or control all rights to the User Content you submit and that the User Content does not violate these Terms or any applicable law.

6. Payment Terms

When you place an order through our Site, you agree to pay all charges at the prices listed for the Products selected, plus any applicable taxes, delivery fees, service charges, and any other fees disclosed at the time of checkout.

6.1 Payment Methods

We reserve the right to refuse or cancel any order for reasons including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity. If payment has already been processed, we will issue a refund.

We will review your concern and may, at our sole discretion, offer a refund, credit, or replacement. Refunds will be processed to the original payment method within a commercially reasonable time period.

7. Allergen and Nutritional Information

We make reasonable efforts to provide accurate allergen and nutritional information for our Products. However, our food products are prepared in facilities that may handle common allergens including but not limited to nuts, dairy, gluten, eggs, soy, and shellfish. We cannot guarantee that any product is completely free from allergens due to potential cross-contamination during food preparation.

If you have severe food allergies or dietary restrictions, we strongly encourage you to speak directly with our staff before placing an order. By using our services, you acknowledge and assume the risk associated with allergen exposure and agree that Chopt shall not be liable for any allergic reactions or adverse effects resulting from the consumption of our Products.

8. Disclaimers — "As-Is" Basis

YOUR USE OF THE SITE AND OUR SERVICES IS AT YOUR SOLE RISK. THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES INCLUDED ON OR MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE
  • WARRANTIES THAT DEFECTS IN THE SITE OR SERVICES WILL BE CORRECTED
  • WARRANTIES THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, any implied warranties are limited to the shortest period permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL CHOPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS
  • LOSS OF DATA OR INFORMATION
  • LOSS OF GOODWILL
  • BUSINESS INTERRUPTION
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • ANY OTHER INTANGIBLE LOSSES

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CHOPT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CHOPT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS.

Some states, including those with consumer protection statutes, may not allow the limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Chopt and its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use of the Site or services in a manner not expressly permitted by these Terms
  • Any User Content you submit, post, or transmit through the Site
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or proprietary rights
  • Your violation of any applicable federal, state, local, or international law or regulation

  • Any claim that your User Content caused damage to a third party

Where we engage third-party delivery services to fulfill your orders, such services are governed by the respective third party's own terms of service and privacy policies. Chopt is not responsible for the acts or omissions of any third-party delivery service.

12. Privacy and Data Protection

These Terms of Service and any dispute or claim arising out of or related to these Terms, your use of the Site, or our services shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws, without regard to its conflict of law provisions.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Chopt agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States for the resolution of any disputes. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms shall be governed by and interpreted in accordance with applicable federal law and the laws of the state in which Chopt is registered and operates. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed with formal dispute resolution as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. For any dispute that cannot be resolved informally, you and Chopt agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site or services, shall be resolved by final and binding arbitration administered by a recognized arbitration organization, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration will be conducted on an individual basis. YOU AND CHOPT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

14.3 Class Action Waiver

YOU AND CHOPT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Chopt agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes shall not be subject to arbitration: (a) any dispute relating to the infringement or protection of intellectual property rights; (b) any claim for emergency injunctive relief; or (c) any dispute that applicable law expressly excludes from arbitration.

15. Term and Termination

These Terms of Service are effective from the date you first access or use the Site and will remain in full force and effect for as long as you continue to use the Site or our services, unless terminated earlier in accordance with these Terms.

15.1 Termination by You

You may terminate your agreement with these Terms at any time by discontinuing your use of the Site and services and, if applicable, deleting your account. You may request deletion of your account by contacting us at [email protected].

15.2 Termination by Us

We may terminate or suspend your access to the Site and services, with or without cause and with or without notice, at our sole discretion. Grounds for termination include, but are not limited to:

  • Creating risk or possible legal exposure for Chopt
  • Requests by law enforcement or government agencies
  • Extended periods of inactivity

15.3 Effect of Termination

Upon termination: (a) your right to use the Site and services will immediately cease; (b) any outstanding orders will be handled according to our refund policy; (c) we may delete your account and associated data in accordance with our Privacy Policy; and (d) the following sections of these Terms shall survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and any other provisions that by their nature should survive.

Any failure by Chopt to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any provision of these Terms in any instance shall not be deemed a waiver of such provision in the future or a waiver of any other provision of these Terms.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices and agreements published by Chopt on the Site, shall constitute the entire agreement between you and Chopt concerning your use of the Site and our services. These Terms supersede all prior agreements, representations, warranties, and understandings with respect to the Site, the content, products and services provided by or through the Site, and the subject matter of these Terms.

No waiver by Chopt of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Chopt to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Force Majeure

Chopt shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, power outages, internet or telecommunications failures, or governmental actions.

In the event of a force majeure event, we will make commercially reasonable efforts to resume performance of our obligations as soon as practicable.

21. Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with your use of the Site and services. Our services are intended for use within the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws of your jurisdiction to the extent applicable.
